1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the ThomoAI platform, mobile application, and associated services (collectively, the “Service”) provided by ThomoAI Ltd, a company registered in England and Wales under company number 17144197, with its registered office at 17 Plumbers Row, London, E1 1EQ (“ThomoAI”, “we”, “us”, or “our”).

By creating an account, connecting a bank account, starting a free trial, or making any payment, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms should be read alongside our Privacy Policy and Cookie Policy, which form part of your agreement with us.

2. The Service

2.1 What ThomoAI provides

ThomoAI is an AI-powered financial assistant designed for UK small businesses. The Service includes read-only connection to your business bank account via Open Banking, AI-generated cash flow forecasting and financial insights, live VAT and Corporation Tax tracking and estimates, invoice creation, tracking, and automated payment chasing, smart expense categorisation and analysis, the Thomo AI CFO chat interface, and weekly and monthly financial briefings.

2.2 What ThomoAI does not provide

ThomoAI is a financial information and management tool. It is not a regulated financial adviser. Nothing in the Service constitutes financial advice under the Financial Services and Markets Act 2000, tax advice or legal advice, accounting or audit services, or any form of banking, payment, or money transmission service. You should always consult a qualified accountant, tax adviser, or solicitor before making significant financial or legal decisions. ThomoAI’s forecasts and estimates are indicative only and are not guaranteed to be accurate.

2.3 Open Banking and bank connections

ThomoAI connects to your bank account on a read-only basis using Open Banking, the UK government-backed standard regulated by the FCA. We can see your transactions and balance — we cannot move, touch, or initiate any payment from your account. Your banking credentials are never stored by ThomoAI. You may revoke ThomoAI’s access to your bank account at any time through the Service or directly through your bank.

3. Eligibility and Account Registration

To use ThomoAI you must be at least 18 years of age, be a sole trader, director, partner, or authorised representative of a UK-registered business, have a UK business bank account held with a participating Open Banking provider, and provide accurate and complete information when registering.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@thomo.ai if you suspect any unauthorised access. You may not create more than one account per business entity, share your account with third parties, or use the Service on behalf of a business you are not authorised to represent.

4. Subscription, Free Trial, and Payment

4.1 Free trial

ThomoAI offers a 3-day free trial for new subscribers. The trial begins on the date you connect your bank account and enter valid payment details. At the end of the trial period, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial expires.

4.2 Subscription plans

  • Monthly plan: £17.99 per month, billed monthly in advance.
  • Annual plan: £149.00 per year, billed annually in advance (equivalent to £12.42 per month).

Prices are inclusive of VAT where applicable. ThomoAI reserves the right to change subscription prices with 30 days’ notice to existing subscribers.

4.3 Billing and payment

Payments are processed securely by Stripe. By providing payment details, you authorise ThomoAI to charge the applicable subscription fee at each billing cycle. Subscriptions renew automatically until cancelled. If a payment fails, we may suspend access to the Service until payment is received.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. ThomoAI does not provide pro-rata refunds for unused portions of a billing period following cancellation, except as set out in clause 4.5.

4.5 Money-back guarantee

If you are not satisfied with ThomoAI within 30 days of your first paid charge, you may request a full refund by contacting support@thomo.ai. This guarantee applies once per customer and does not apply to renewals after the first 30 days.

5. Your Data and Privacy

5.1 Data we process

In providing the Service, ThomoAI processes personal and financial data about you and your business, including bank transaction data, account balance information, business details, invoice data, and usage data. Full details are set out in our Privacy Policy.

5.2 ICO registration

ThomoAI Ltd is registered with the Information Commissioner’s Office under registration number 00013710011, as required by the UK GDPR and the Data Protection Act 2018.

5.3 Your rights

You have the right to access, correct, export, and delete your personal data. Contact support@thomo.ai. We will respond within one calendar month.

5.4 Data retention

We retain your financial data for as long as your account is active and for 6 years following account closure, in compliance with HMRC record-keeping requirements. You may request earlier deletion of non-statutory data at any time.

5.5 Data security

ThomoAI uses 256-bit encryption in transit and at rest, role-based access controls, and regular security reviews. No system is entirely secure. You acknowledge that you transmit data to ThomoAI at your own risk.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose, to connect a bank account you do not own or are not authorised to access, to attempt to probe or test the security of ThomoAI’s systems, to reverse-engineer or decompile the Service, to introduce malware or malicious code, to scrape or harvest data by automated means, or to resell or sublicense access to the Service without our written consent. ThomoAI reserves the right to suspend or terminate your account immediately if we believe you have violated these provisions.

7. Intellectual Property

All intellectual property rights in the Service, including the software, algorithms, designs, brand, and the Thomo owl character, are owned by or licensed to ThomoAI Ltd. You retain all intellectual property rights in the data and content you provide. ThomoAI will not sell your data to third parties or use it to train AI models in ways that could identify your business without your explicit consent.

8. AI, Forecasts, and Accuracy

ThomoAI uses artificial intelligence to generate insights, forecasts, alerts, and recommendations. AI-generated outputs are probabilistic and not guaranteed to be accurate. Financial forecasts are based on historical patterns and may differ materially from actual outcomes. VAT and tax estimates are indicative only and are not a substitute for qualified advice. You are solely responsible for any decisions you make based on information provided by ThomoAI.

9. Limitation of Liability

ThomoAI’s total aggregate liability for any claim shall not exceed the greater of the total fees paid by you in the 12 months preceding the claim or £100. ThomoAI shall not be liable for any indirect, consequential, or incidental loss including loss of profits, revenue, business, or data. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

10. Warranties and Disclaimers

The Service is provided “as is” and “as available”. ThomoAI makes no warranty that the Service will be uninterrupted or error-free, that information will be accurate or complete, or that the Service will meet your specific requirements. We will use commercially reasonable efforts to maintain the Service and address security issues promptly.

11. Third-Party Services

ThomoAI integrates Apple (for the downloads and payments and use of the app), Stripe (payments), Clerk (authentication), Resend (email), and Anthropic (AI). Your use of these integrations is subject to the relevant third party’s terms. ThomoAI is not responsible for the performance or data practices of any third-party service.

12. Changes to These Terms

ThomoAI may update these Terms from time to time. Where changes are material, we will provide at least 14 days’ notice by email or in-app notification. Your continued use of the Service after changes take effect constitutes your acceptance.

13. Termination

Either party may terminate this agreement at any time. ThomoAI may terminate your account with 30 days’ notice for any reason, immediately for breach of these Terms, or immediately if required by law. On termination, you may request a data export within 30 days of account closure.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating legal proceedings, please contact support@thomo.ai so we can attempt to resolve the matter informally within 30 days.

15. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ThomoAI. If any provision is found unenforceable, the remaining provisions continue in full force. ThomoAI’s failure to enforce any right shall not constitute a waiver. You may not assign your rights without our written consent.
